参院選の次は都知事戦と、なんだか慌ただしいこの頃ですね。
海外に目を向ければ、「メイ英首相就任」、「中国の南シナ海問題を巡るハーグ仲裁裁判所判決」と、大きな出来事が続いてるようです。
それらに関連した社説はあとでじっくり読むとして、今日は少し気分を変えて経済の話など。
今日のテーマは、「株主総会 企業統治（コーポレートガバナンス）」です。
少し前の社説になりますが、最近、個人的に気になっているテーマです。
先日山場をむかえた各社の株主総会でも、「企業統治の質」向上が強く求められる場面が多かったようですよ。

☆内容ポイント
・企業価値の向上に対する株主の目は、厳しさを増している。各企業は、収益力強化の前提となる統治体制（ガバナンス）の確立に一層取り組まなければならない。
・３月期決算の上場企業の株主総会が山場を迎えた。総会屋の活動の沈静化などにより、総会の開催日は分散化の傾向にある。
・今年は、東京証券取引所と金融庁が定めた「企業統治指針」が導入されて２年目。同指針は、ガバナンス強化策として、社外取締役の積極活用や投資家との対話の充実などを求めたもの。
・指針導入の効果により、多くの企業で社外取締役が選任された。外部の目を生かした人事主導、経営監視が期待される。適切な人材の確保が課題。
